Physical Data Rooms Slated To Be Replaced By Virtual Data Rooms

By Barry Hill

The personal computer or laptop is used by an individual to access information. Search engines pull up that information from databases. To store this information short term or long term, the computer needs memory. Online data rooms are used to do business using stored datum that are protected by security systems. Encryption and other security techniques function to keep everything protected.

Sensitive details are stored in the commercial databanks. Some examples of sensitive things are banking names and numbers, social security numbers for credit card purposes and medical reports. Business can take place through open discussion without fear of it being exposed to unauthorized personnel.

These virtual Internet boardrooms make global business interactions possible. Deals can be negotiated in confidence. No one can download any information or transactions that take place. What takes place is seen only by those who have specific permission and access to it.

A process called due diligence takes place when there is a merger or acquisition transaction. It once took place in the physical boardroom and now takes place on the Internet. The virtual place for meetings is the primary place where capital venture deals take place.

The benefits are numerous. A virtual storage room is set up as an extranet, which can be accessed only by the people involved in the transaction. It asks for log-on information before allowing entrance. Log-on name and password is granted by an involved person and can be revoked at any time.

Paperwork may be taken out of a physical boardroom at any time during a meeting. The same is true of online virtual contracts and other virtual documents. The facts revealed in the virtual data rooms remain confidential. Each person participating is legally bound to keep all the facts of the matter confidential. Legal action can be taken if he or she ignores that requirement.
